These Terms and Conditions (“Terms”) apply to your registration for and participation at a SPARC event (“Event”). By RSVP’ing, participating in, or attending an Event, you acknowledge that you have read, understand, and agree to the following Event Terms between you and the applicable SPARC entity hosting the Event, including our subsidiaries and affiliates (“SPARC,” “we,” “our,” or “us”).

1) Standard of Conduct
To help us provide the best Event experience for everyone, attendees are expected to be respectful and considerate. Unacceptable behavior includes but is not limited to: harassment; discrimination; lewd, provocative, or offensive behavior toward Event attendees, organizers, or others; offensive and/or inappropriate language, symbols, or graphics on chat, Q&A, message boards, and other online event components; disturbing the peace; committing any fraudulent or unlawful act; destruction or vandalization of property; unlawful possession of weapons or illegal substances; failure to abide by rules of the venue or instructions of the Event organizers; sharing Event badges; interference with Event operations; unauthorized copying or reproducing Event materials; or unauthorized harvesting of Event attendee or organizer information. Event organizers may take any reasonable action they deem appropriate in response to unacceptable behavior, including expulsion from the Event without refund and involvement of law enforcement. Please report any violations of these standards to Event organizers.

2) Assumption of Risk
You are responsible for your actions during the Event and your attendance is entirely voluntary. You assume all risks relating to your participation in the Event and, to the maximum extent permitted by law, you waive, for yourself and your legal and personal representatives, any claim against SPARC, its employees, directors, representatives and agents relating to the Event, including claims for personal injury or property damage.

3) Personal Release
You understand SPARC (and/or others on our behalf) may record and broadcast the Event through photos, videos, webcasting, streaming, audio recording, or other means (“Recording”) and your image, likeness, voice, words and other identifying characteristics (“Image”) may be captured in such Recordings. You agree to Recordings and consent to SPARC’s use of Recordings. You irrevocably grant SPARC and its agents, contractors, licensees and designees and their respective successors and assigns a non-exclusive, worldwide, royalty-free and fully paid-up, perpetual license to use, reproduce, distribute, prepare derivative works of, translate, display, perform and otherwise exploit Recordings and your Image, in whole or in part, in any media format and through any media channel, in any manner and for any purpose in connection with SPARC’s business, including the Event or similar Events, and for any other lawful purpose. You waive and release all rights of privacy and publicity, and any claim to compensation or damages or of violation of intellectual property rights, in connection with Recordings and/or any advertising or publicity relating thereto. You represent that you have read and understand this release and are of legal age to agree to it.

4) Compliance with Laws
SPARC makes every effort to comply with government ethics and gift laws and rules. You represent that registering for and participating in the Event does not violate the applicable laws of your state or home country or the internal policies of, and laws governing, your employer.

5) Privacy
Your registration and participation in the Event, or downloading an Asset, is subject to SPARC’s WtS Privacy Policy, available at https://www.sparccoalition.com/wts-privacy-policy/. Depending on the Event, name badges, bracelets or similar devices (“Badge”) may be equipped with radio frequency identification (RFID) or other technology used to record your participation at a physical Event, or software technology to record your participation at a virtual Event. By allowing your Badge to be scanned at a physical Event, visiting a virtual booth or session at a virtual Event, or downloading an Asset, you authorize the sharing of that information with sponsors, SPARC Partners, or affiliates (“Affiliated Sponsors”) whose booth you visit, whose sessions you attend including co-branded events, or whose Asset you download. For a current list of SPARC Partners, please inquire at Event check-in. You agree that Affiliated Sponsors for the Event may use such information in accordance with their own privacy policies, and that SPARC is not responsible for the privacy practices of its Affiliated Sponsors.

6) Security
SPARC reserves the right to take any reasonable measures to ensure the security of the Event, its attendees and organizers. SPARC is the Event organizer and reserves the right, in its sole discretion, to limit or deny access to the Event to any entity or individual.

7) Forward Looking Statements
Certain statements made at the Event may be construed as “forward-looking statements” as defined in the Private Securities Litigation Reform Act of 1995. The words: expects, anticipates, intends, plans, believes, will, could, should, estimates, may, targets, strategies, intends to, projects, forecasts, guidance, likely, and usually or variations of such words and other similar expressions identify forward-looking statements, which speak only as of the date the statement was made and are based on current expectations and assumptions. Because such statements deal with future events, they are subject to various risks and uncertainties. Actual results for this year and beyond could differ materially from the SPARC’ current expectations.

8) Cancellations and Refunds
Cancellations for registration, and/or fee-based training courses can be done up to 15 business days prior to the start of the Event. Refunds, if any, take 5-7 business days to process, depending upon your bank. Payment by check requires 2 weeks to process. Cancellations received within 15 business days of an Event or non-attendance will not be refunded. All registrations created as part of a bundle are non-refundable.

9) Limitation of Liability
Except as otherwise set forth in these terms and conditions, your participation in the Event and all services, information and materials provided in connection with the Event are provided by SPARC and/or its respective suppliers “as is” without warranty or condition of any kind, and SPARC and/or its respective suppliers hereby disclaim all warranties, including all warranties and conditions, whether express, implied or statutory, of merchantability, fitness for a particular purpose, title and non-infringement.

To the maximum extent permitted by law, in no event shall SPARC and/or its respective suppliers be liable for any personal injury or property loss or damage, or for any other loss, including any direct, indirect, incidental, consequential, punitive, special or exemplary damages arising out of or that relate to this agreement, participation in the Event or the services, information or materials provided in connection with the Event. This exclusion applies regardless of the legal theory for the claim and even if the party is advised of the possibility of such damages. The maximum aggregate liability of SPARC, its directors, officers, affiliates, agents and representatives for any losses, damages, or actions in connection with the Event will not exceed the amount of the registration fee, if any, paid by you to SPARC.

10) Registration
SPARC’s receipt of registration and/or payment does not constitute acceptance. Registration and payments that are not accepted will be returned.

11) Force majeure.
In the event that SPARC is prevented from carrying out its obligations as a result of any cause beyond its control, such as but not limited to: riots, wars, or hostilities within or between any nations; acts of God, fires, storms, floods, earthquakes, hurricanes, and other natural disasters; disease, epidemics, pandemics, or health emergencies; the failure of any third party to deliver goods or services for the Event; power, communication line or other utility service disruptions; or embargos, travel bans, and other governmental restrictions or recommendations that affect or materially impact the purpose of the Event; or any other situation that makes it impossible, illegal or commercially unfeasible for SPARC to hold the Event, SPARC reserves the right to cancel or reschedule the Event, and shall be relieved of its obligations and liabilities in connection therewith.

12) Age Requirements
Attendees must be 21 years of age or older to participate in the Event or download an Asset.

You must accept these terms and conditions to attend the Event.

13) Downloadable Content (an “Asset”)
In the event you download an Asset made available by SPARC, SPARC grants you a limited, revocable, non-transferrable, non-sublicensable license to view an Asset for personal use only (or if on behalf of your organization, for your organization’s internal use only). You agree that you will not reproduce, distribute, transmit, or make derivative works from Assets. Assets and the information contained within are provided by SPARC “as-is” without warranties of any kind. In addition to the requirements in this section, you further agree to these Terms and Conditions.
